Step into a high‑impact role at the heart of FOSS’ strategic growth. As our new Senior Legal Counsel, Corporate, M&A, & Supply Chain, you will play a central role in shaping transactions, strengthening our global supply chain governance, and supporting critical corporate initiatives.

You will engage directly with leaders across Corporate Development, Supply Chain, Finance, IT, and Executive Management to deliver high‑quality legal guidance that enables innovation and sustainable global expansion.

What you will do

As Senior Legal Counsel, you will take a leading role in complex strategic and operational legal matters, including:

• Advising on M&A, joint ventures, and strategic investments, covering due diligence, transaction documentation (SPAs, APAs, JVAs, TSAs), and post‑deal integration in close collaboration with senior leadership.
• Drafting and negotiating critical global contracts across supply chain, procurement, manufacturing and quality, logistics, and IT/technology, ensuring commercial alignment and regulatory compliance.
• Strengthening corporate governance and structure, including subsidiary management, board and committee processes, authority frameworks, and corporate records.
• Advising on IT, digital, and information security agreements, such as SaaS/cloud, software licensing, DPAs, and security frameworks aligned with NIS2 requirements.
• Designing and optimizing scalable contract frameworks, templates, approval flows, and contract lifecycle management processes, while partnering closely with Finance, Supply Chain, Corporate Development, IT, and other key stakeholders.

About you

The profile we are looking for is an experienced commercial lawyer who thrives at the intersection of law and business and who can balance legal risk with commercial ambition.

In this role, you will collaborate with a diverse range of stakeholders at all organizational levels, requiring exceptional stakeholder engagement and advanced communication abilities. Based in our Hillerød office, you will interact with both Danish and international stakeholders, making full professional proficiency in Danish and English essential.

To be successful in the role, we imagine that you bring:

• A Master of Law (cand.jur. or cand.merc.jur.).
• 5–7+ years’ experience from a law firm and/or in‑house role and significant experience leading negotiations for complex transactions and commercial agreements
• Strong governance understanding and ability to structure corporate processes
• Experience working with IT, SaaS/cloud, or information security contractual frameworks
